2. Definitions
- “We”, “us”, “our” — Wholesale Welding Supplies Ltd trading as Weldability SIF.
- “You”, “your” — the business customer placing an order or using this website.
- “Goods” — the products we supply, as described on this website or in a quotation.
- “Order” — your request to purchase Goods from us.
- “Contract” — the contract between you and us for the sale of Goods, formed under clause 4.
- “Trade Account” — a credit or cash account we open for approved business customers.
3. Application of these terms
We sell on a trade-only, business-to-business basis. By placing an order you confirm that you are acting in the course of a business and not as a consumer. These terms apply to the Contract to the exclusion of any other terms you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
These terms, together with our Privacy Policy and Delivery information, constitute the entire agreement between us. Any samples, descriptions, illustrations or advertising are produced for the sole purpose of giving an approximate idea of the Goods and do not form part of the Contract.
4. Orders and their acceptance
An order constitutes an offer by you to purchase Goods in accordance with these terms. An order is only accepted, and a Contract formed, when we issue a written acceptance or order confirmation, or (if earlier) when we dispatch the Goods. We may decline any order at our discretion.
Quotations are valid for 30 days from their date unless stated otherwise, and are not an offer capable of acceptance once expired or withdrawn.
5. Trade accounts
Access to online ordering, customer-specific pricing and credit facilities is available only to approved Trade Account customers. We may require trade references, credit checks and such other information as we reasonably require before opening a Trade Account. We may grant, vary, suspend or withdraw credit facilities, or amend your credit limit, at any time at our discretion. Unless otherwise agreed in writing, our standard credit terms are 30 days from the date of invoice.
You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out using your account. Account login details are provided solely for use by authorised employees of the account holder and must not be shared with, disclosed to or used by any unauthorised third party. You must notify us immediately if you become aware of, or suspect, any unauthorised access to or use of your account.
Any unauthorised sharing, transfer or misuse of account credentials may result in the immediate suspension or termination of your account, withdrawal of any agreed pricing or credit facilities, and we reserve the right to take legal action or pursue any other remedies available to us in respect of any loss or damage arising from such misuse.
6. Price
Prices are those shown to your Trade Account or set out in a written quotation, and are exclusive of VAT and, unless stated, of delivery. We reserve the right to correct manifest errors and to change prices before we accept an order. Where the price of Goods increases between order and dispatch due to a factor beyond our control, we may adjust the price on notice to you.
7. Payment
We accept payment by card. For cash accounts, payment is due in full before dispatch; for credit accounts, payment is due within 30 days of the invoice date. Time for payment is of the essence.
If you fail to make a payment when due, we may suspend further supplies, require immediate payment of all outstanding sums, and take such action as we consider appropriate to recover the outstanding debt, including instructing a debt recovery agency or commencing legal proceedings. You will be responsible for any reasonable costs we incur in recovering overdue amounts, to the extent permitted by law.
8. Delivery and carriage
Delivery, carriage charges and timescales are as set out on our Delivery page and in your order confirmation. Delivery dates are estimates only and time of delivery is not of the essence. We are not liable for any delay caused by an event outside our reasonable control (see clause 14).
You must inspect the Goods on delivery and notify us of any shortage, damage or incorrect supply within 2 days.
9. Risk and title
Risk in the Goods passes to you on delivery. Title to the Goods does not pass to you until we have received payment in full (in cleared funds) for the Goods and any other sums owed to us. Until title passes, you must store the Goods so that they remain identifiable as ours and must not dispose of them other than in the ordinary course of business.
10. Returns and cancellation
As a business customer, you do not have the statutory cancellation rights that apply to consumers. Subject to our prior written authorisation, unused Goods in their original, unopened packaging may be returned within 30 days of delivery. We reserve the right to apply a reasonable restocking charge. Special-order, bespoke, cut-to-length, perishable and hazardous Goods are non-returnable unless they are faulty or supplied in error. Goods returned as faulty will be dealt with in accordance with clause 11.
11. Product information, warranties and faulty Goods
We warrant that, at the time of delivery, the Goods will conform in all material respects with their description and will be free from material defects in materials and workmanship. Where a manufacturer’s warranty applies, it is provided in addition to this warranty and is subject to the manufacturer’s own terms and conditions.
Technical data, specifications, welding parameters, filler metal selection charts, application guidance and other technical information are provided in good faith for general guidance only. Whilst we take reasonable care to ensure such information is accurate, it does not constitute a guarantee of performance or suitability. It is your responsibility to determine that the Goods are suitable for your intended application and to ensure compliance with all applicable safety, handling, storage and regulatory requirements.
If any Goods fail to comply with the warranty above, you must notify us as soon as reasonably practicable after the defect becomes apparent and provide us with a reasonable opportunity to inspect the Goods. Subject to verification of the claim, our sole obligation shall, at our option, be to repair or replace the Goods or refund the price paid for the affected Goods. This warranty does not apply to defects arising from normal wear and tear, misuse, incorrect storage or handling, improper installation or use, modification, accidental damage, or failure to follow any instructions or recommendations provided by us or the manufacturer.
12. Limitation of liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be limited or excluded.
Subject to the above, we shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of contracts, loss of goodwill, or any indirect or consequential loss arising out of or in connection with the Contract.
Subject to the above, our total aggregate liability arising out of or in connection with the Contract shall not exceed the price paid by you for the Goods giving rise to the claim.
Except as expressly stated in these Terms, all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law.
13. Intellectual property and use of this website
All content on this website — including text, images, product data, logos and brand names — is owned by or licensed to us and is protected by intellectual property laws. You may view and print pages for your own business use, but must not otherwise copy, reproduce, republish or exploit any part of the website without our written permission.
You must not misuse this website, including by attempting to gain unauthorised access, introducing malicious code, or using it other than for legitimate business purposes. The website is provided “as is”; while we take care to keep information accurate and up to date, we do not warrant that it is error-free or continuously available.
14. Events outside our control
We are not liable for any failure or delay in performing our obligations caused by an event outside our reasonable control, including strikes, failure of suppliers or carriers, shortage of materials, fire, flood, epidemic, or the acts or restrictions of any government or authority.
15. Data protection
We process personal data in accordance with our Privacy Policy and applicable data-protection law (UK GDPR and the Data Protection Act 2018).
16. General
- We may assign or subcontract our rights and obligations; you may not do so without our written consent.
- If any provision is found to be unenforceable, the remaining provisions continue in force.
- A failure or delay in enforcing a provision is not a waiver of it.
- A person who is not a party to the Contract has no rights under the Contracts (Rights of Third Parties) Act 1999.
- We may update these terms from time to time; the version in force when you place an order applies to that order.
17. Governing law and jurisdiction
These terms and any dispute arising out of them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
